Terms & Conditions of Sale and Service (CGVS – Convenience Translation)

This document constitutes the general terms and conditions applicable to any order for web performance audit services (“Core Web Vitals Audit”) carried out by Raphael Giulieri (hereinafter referred to as “the Service Provider”), exclusively for the benefit of professional clients (legal entities or sole entrepreneurs acting within the scope of their professional activity) (hereinafter referred to as “the Client”).

2. Definitions

“Audit”: a service including the execution of tests (PageSpeed Insights, Lighthouse, CrUX), the analysis of results, the drafting of a report, the recording of an explanatory Loom video, and a Q&A session.

“Services”: all Audits and related options (monthly monitoring, optimization sprint, training, etc.).


3. Scope

The Services are offered online worldwide, and these General Terms and Conditions of Sale and Services are governed by French law. Any dispute relating to their interpretation or execution shall fall under the exclusive jurisdiction of the Commercial Court of Nice.

5. Ordering Process

  1. Client fills in the Typeform or sends a purchase order.

  2. Provider issues a 50 % deposit invoice.

  3. Upon deposit receipt, Provider performs the Audit.

  4. Report is delivered by e‑mail and the balance (pre‑authorised) is captured via Stripe.

  5. Client may request one (1) included revision within 7 days of delivery.


6. Payment Terms

  • Deposit: 50 % at order via secure Stripe link.

  • Balance: auto‑captured upon delivery.

  • Late payment: statutory interest (10 % p.a.) plus €40 recovery fee (art. L441‑10 French Commercial Code).


7. Lead‑time

The timeframe begins upon the actual receipt of the deposit and the necessary access or information. In the event of a delay caused by the Client (such as missing access or website changes), the timeframe shall be suspended.


8. Confidentiality / Client References Clause

Confidentiality.
Each Party agrees not to disclose the other Party’s Confidential Information and to use it solely for the purpose of performing the Services, during the term of the Contract and for three (3) years after its expiration or termination. The following shall not be considered Confidential Information: (a) information that becomes public through no fault of either Party; (b) information already known prior to disclosure; (c) information lawfully obtained from a third party; or (d) information independently developed. The Service Provider may share information with subcontractors strictly as necessary for performance, subject to an equivalent confidentiality obligation.

References & communication.
Unless expressly objected to in writing by the Client (which may be done at any time), the Service Provider is authorized to cite the Client’s name and logo as a commercial reference, and to publish an anonymized case study describing the nature of the work and general results, without disclosing any Confidential Information or trade secrets. Upon the Client’s first request, such reference shall be removed for the future.

9. Nature of the Services / Scope

The Services consist of diagnostic and recommendation work (notably regarding Core Web Vitals) based on the state of the Website at the time of testing. No implementation is included unless expressly stated otherwise. The Service Provider offers no guarantee of results (including the achievement of specific performance thresholds), as such outcomes depend on factors beyond their control.

Dependencies and external factors.
The performance and stability of the Website depend notably on the hosting provider, CDN, third-party integrations and scripts (marketing tags, A/B testing tools, widgets, fonts, analytics, etc.), traffic (volume/mix), end-user devices and networks, and any modifications made by the Client or its contractors. The Service Provider shall not be held responsible for the effects of these dependencies or for any subsequent degradation.

Environments & best practices.
The Client agrees to back up the Website and to test all recommendations in an appropriate staging or development environment before deployment, and remains solely responsible for the technical choices implemented.


10. Delivery, Acceptance, and Revision

Upon delivery of the deliverables (PDF report and/or video), the Client has seven (7) calendar days to notify in writing any objective non-compliance with the contractual scope. After this period, the deliverables shall be deemed accepted without reservation (tacit acceptance).
One (1) minor revision (editorial adjustments or factual clarifications that do not alter the scope of the diagnostic) is included if requested within this period.

Definition — Minor revision: editorial corrections or factual clarifications, without modification of the scope or addition of further analyses. Any request expanding the initial scope shall be treated as a billable change.


11. Liability

The total liability of the Service Provider, regardless of the cause, is limited to the net amount (excluding taxes) actually paid by the Client for the Service in question. Under no circumstances shall the Service Provider be held liable for any indirect losses (including loss of profit, loss of traffic, SEO penalties, etc.).


12. Intellectual Property

Pre-existing rights and tools.
The Service Provider remains the sole owner of all intellectual property rights related to its methods, models, templates, scripts, checklists, dashboards, tools, and know-how (the “Tools”), whether pre-existing or developed/incorporated in the course of providing the Services. No ownership rights over the Tools are transferred to the Client.

Deliverables & license.
Subject to full payment of all amounts due, the Client is granted a non-exclusive, non-transferable, and non-sublicensable license, of unlimited duration, to use the deliverables provided (PDF report, video/voice-over, screenshots, tables) internally as part of its business activity. Any reproduction, public distribution, republication, resale, or sharing with third parties (except for internal use by the Client and its authorized contractors) is prohibited without the Service Provider’s written consent.

Trademarks & logos.
No rights are granted over either Party’s trademarks, logos, or other distinctive signs, except as provided under the “References & Communication” clause above.


13. Subcontracting

The Service Provider may engage subcontractors for all or part of the Services. The Service Provider remains solely responsible to the Client for proper performance.


14. Termination

In the event of a material breach not remedied within ten (10) days following a formal notice, or in the case of non-payment, either Party may terminate the Contract by right. The Service Provider retains the right to all sums due for Services already performed, as well as any applicable late payment interest.


15. Evidence and electronic signature

The Parties agree that emails, quotes/purchase orders, application logs, and payment link validations constitute admissible forms of evidence. Online acceptance and electronic signatures shall have the same evidentiary value as handwritten signatures.


16. Force majeure

Neither Party shall be held liable for failure to perform resulting from an event of force majeure as defined in Article 1218 of the French Civil Code.


17. Governing law – Jurisdiction – Language

These General Terms and Conditions of Sale and Services are governed by French law. Any dispute relating to their interpretation or performance shall fall under the exclusive jurisdiction of the Commercial Court of NICE. The French version shall prevail over any translation.
